1. Agreement to Terms

By accessing or using VENU.studio ("Service"), operated by CUE++ ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

VENU.studio is a professional stage lighting design platform that enables users to transform CAD files and equipment lists into production-ready lighting plots, MVR exports, and documentation. The Service includes web-based tools for 3D visualization, fixture management, collaboration, and document generation.

3. Account Registration

When you create an account with us, you must:

• Provide accurate, complete, and current information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

You must be at least 16 years old to use this Service. By using the Service, you represent and warrant that you meet this requirement.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or user accounts
• Interfere with or disrupt the integrity or performance of the Service

5. User Content

By using the Service, you grant us a limited license to store, display, and process your User Content solely to provide and improve the Service.

5.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to use and authorize us to use your User Content.

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion and without prior notice.

6. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of CUE++ and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Subscription and Payments

7.1 Free and Paid Services

We offer both free and paid subscription plans. The features available to you depend on your subscription level. We reserve the right to modify, discontinue, or change pricing for any features or services at any time.

7.2 Billing

For paid subscriptions, you agree to pay all fees associated with your plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as explicitly stated in these Terms.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. You will continue to have access to paid features until the end of your billing period.

8. Third-Party Services and Content

The Service may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CUE++, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless CUE++ and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, violation of these Terms, or violation of any rights of a third party.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your User Content may be deleted, though some information may be retained as required by law or for legitimate business purposes.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which CUE++ is established, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
